Confidentiality and Intellectual Property

Use non-public project information only to perform the agreed work. Restrict access to authorized people with an equivalent confidentiality duty. Do not publish client names, samples, prompts, source data or deliverables as portfolio material without permission.

Each party retains pre-existing tools and materials. The project contract must identify what is assigned, what is licensed, permitted use, third-party restrictions and when rights take effect. Do not assume a vendor can transfer ownership of open-source or third-party software.

Subject to the final project agreement and applicable law, newly commissioned deliverables should transfer or be licensed to the client upon the agreed payment condition. Any background component necessary to use the deliverable requires a sufficient disclosed licence. Saudi counsel must approve the final assignment form and exceptions.

AI-generated output may contain errors or have uncertain rights. Disclose material AI use and review outputs for accuracy, infringement and confidentiality before delivery. Do not send client confidential or personal data to an AI service without authority and an approved processing arrangement.
